1. Introduction and application1.1 Terms and Conditions set out herein together with the Membership Form, being the USH’s on-line membership form for use of the USH Group, form the agreement between You and USH (Agreement).
1.2 The Agreement comes into effect, and You are bound by the Agreement, on and from the date you receive written confirmation that your Membership Form has been accepted. 1.3 Each Member to the USH Group is responsible for complying with, and ensuring that their guests comply with, these Terms and Conditions. 1.4 Where capitalised terms are not defined in these Terms and Conditions, they have the same meaning as set out in the Membership Form. 1.5 These Terms and Conditions are effective from the date of publication shown below and may be amended from time to time. 2. Membership2.1 In consideration of your agreement to pay the Membership Fee and to perform Your obligations under the Agreement, USH grants to You a licence to use the USH Group until such time that your membership terminates.

2.4 Subject to You complying with USH’s reasonable requirements in relation to the use of the USH Group, access to the USH Group will be available during the Access Hours. However, USH may, in its absolute discretion, restrict such access or use of the USH Group at any time as reasonably required (i.e. exclusive events, public holidays or any other member’s private booking). 2.5 You are not given an exclusive right of use of the USH Group. 2.6 You must not assign or sub-licence Your membership rights under the Agreement, or otherwise share the use of the USH Group with any third party. 2.7 USH reserves the right at all times to vary the facilities and services it provides. 3. Membership Period3.1 The Agreement commences on the Membership Commencement Date and continues for the period of 12 months unless some other period is specified in the Membership Form (Initial Membership Period).
3.2 After the Initial Membership Period the Agreement automatically renews for a rolling term of 12 months each time (Further Membership Term), unless You advise us in writing prior to the expiry of either the Initial Membership Period or any of the Further Membership Terms that you do not wish to renew Your Membership Period for a Further Membership Term. 4. Membership Period4.1 You must pay the Membership Fee during the Membership Period to USH monthly in advance by direct debit payable to a bank account nominated by USH, with payment to be made on the first Friday following your Membership Commencement Date, recurring every month from this date.
4.2 You must pay the Membership Fee without demand, set-off or deduction. 4.3 You are not entitled to any refund of the Membership Fee paid if You do not use the USH Group during the Membership Period or if the Agreement is terminated early because You have failed to comply with Your obligations under the Agreement. 4.4 You must pay USH on demand, all costs and expenses, as reasonably determined by USH, for all services requested by You (including charges in respect of telephone, facsimile, internet, and other communication services, refreshments or food) in addition to the services specified in clause 2.2. 4.5 If You do not pay any money owing to USH under the Agreement by the due date, You must pay interest at the rate of 12% per annum on that money. Interest will be calculated daily from the due date up to and including the date USH receives full payment. 4.6 Any amounts payable under the Agreement are inclusive of GST (as defined in the A New Tax System (Goods and Services Tax) Act 1999). You are responsible for any additional costs, charges, taxes, claims or other liabilities (including any applicable fringe benefits tax) arising from Your use of the USH Group or any other goods or services offered or provided in connection with Your membership to the USH USH. 4.7 USH may amend the fees at any time by providing you with a 30 days’ notice. 5. Use of the USH facilities5.1 You must:
5.3 USH is under no duty to check or verify the identity, authority or good faith of any person seeking to enter the USH facilities. 5.4 USH may not supervise the use of, and does not guarantee the security or quality of internet or other USH facilities facilities or equipment. USH is not liable for any third party content in the internet that You may find offensive, upsetting or defamatory. USH is not liable for any personal security breaches suffered by You or Your guests when using the USH facilities facilities or services including internet or for any loss or damage suffered as a result of the unavailability of the USH facilities facilities, services, equipment or internet, including interruptions during use. 5.5 USH may film or photograph the facilities and as a result you may appear in the background. Whilst using the USH facilities, you allow USH to use your image in any USH promotional and or other business related material. 5.6 You acknowledge that USH may suspend Your access to the USH facilities by deactivating your security pass if You have breached any terms or conditions of the Agreement. |
6. Damage6.1 You must promptly notify USH of any damage or defect to any fixtures, fittings, plant, equipment, furniture or other articles in the USH facilities whether or not caused by You.
6.2 You must pay USH on demand all reasonable costs and expenses for the repair (or replacement) and make-good of any damage caused by You (or any person you permit to access the USH facilities) to the USH facilities, any fixtures, fittings, plant, equipment, furniture or other articles in the USH facilities 7. Termination7.1 Your membership to use the USH Group and the Agreement will terminate on the earlier of:
7.6 USH may retain any belongings left by You at the USH Group until You pay the costs incurred by USH in their removal and storage and any other money owing by You to USH under the Agreement. 7.7 USH reserves the right to terminate or cease to operate the USH Group at any time. USH will use its reasonable endeavours to give You as much notice of any such termination as is reasonably practicable in the circumstances. 7.8 If You terminate the Agreement during the Initial Membership Period, You will be liable to pay to USH the Membership Fee for the remainder of the Initial Period. nitial Period. 8. Release and Indemnity8.1 You agree to use the USH Group solely at your own risk. All conditions, warranties and terms implied by custom, the general law or statute which apply to the use of the USH Group are excluded to the full extent permitted by law.
8.2 You acknowledge that some of the facilities or services which are offered or provided to You in addition to the facilities and services provided by USH are supplied by third party suppliers. The provision of those facilities or services will be subject, in each case, to the terms and conditions of the suppliers and any claims relating to the supply of those facilities or services should be made to the suppliers. 8.3 USH is not responsible or liable for:

Confidentiality9.1 You must keep all of the confidential information including, trade secrets, know-how, scientific, technical, product, market or pricing information relating to any other USH Group members, or USH Group members businesses or the USH Group itself, which is not in the public domain and includes any information designated to be confidential or any other information which becomes known by You during your membership to the USH Group and which is confidential (Confidential Information).
9.2 You may only disclose the Confidential Information:
10. General10.1 USH collects, stores, uses and discloses Your personal information in accordance with the Privacy Act 1988 (Cth). Your personal information will not be used for any other purpose other than a purpose it was collected for and for the USH marketing and product or service development activities. 10.2 If any provision of the Agreement is illegal, void or unenforceable, that provision will be ineffective and is severed from the Agreement to the extent only of that illegality, voidability or unenforceability. All remaining provisions are to be enforceable. 10.3 USH may assign its rights and interests or novate its rights and obligations under the Agreement. 10.4 The Agreement is the entire agreement between the parties about its subject matter and replaces all previous agreements, understandings, representations and warranties about that subject matter. 10.5 You represent and warrant that You have not relied on any representations or warranties about the subject matter of the Agreement except as expressly provided in the Agreement. 10.6 The Agreement is governed by and You submit to the laws of the State of New South Wales and the non-exclusive jurisdiction of the courts of New South Wales. 10.7 In the Agreement the following rules of interpretation apply unless the contrary intention appears:
